Use of or access to the mobile applications (WhatsApp Chatbot and App) or website (collectively the "Sites") or the Services and your agreement to access or use any of the content made available to you by Zuri Health ("Zuri Health" , the "Company" , "we", "us" or "our") is subject to the following terms of use. Please read these terms and any policies referenced herein carefully. If you click the applicable checkbox or if you proceed to access the Sites or the Services, you are deemed to have accepted these Terms in full. If you do not agree to be bound by these Terms, please do not click the applicable checkbox and do not access the Sites or the Services.
Your use of or access to Play Zuri Health Limited (“Zuri Health“ or the “Company”), (“we”, “us” or “our”) Health Camp Site (the “Site”) is subject to the following Terms of Use (“Terms” or “Terms of Use” or “Agreement”). Please read these Terms and any policies referenced herein carefully. If you click the applicable checkbox or if you proceed to access the Site, you are deemed to have accepted these Terms in full. If you do not agree to be bound by these Terms, please do not click the applicable checkbox and do not access the Site. Change of the Terms of Use: Zuri Health reserves the right, in its sole discretion, to change these Terms of Use ("Updated Terms") from time to time. We will send notices of any changes to the contact details you shared with us. Effective Date of Updated Terms: Any Updated Terms will be effective as of the time of posting, or such later date as may be specified in the updated Terms and will apply to your use of the Site.
BY CHECKING THE BOX OR OTHERWISE ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS. BY CHECKING THE BOX or otherwise accessing or using the Site you also represent that you have the legal authority to accept the Terms on behalf of yourself. If you are an individual who is entering into these Terms on behalf of an entity, you represent and warrant that you have the power to bind that entity, and you hereby agree on that entity's behalf to be bound by these Terms, with the terms “you,” and “your” applying to you, that entity, and other users accessing the Site on behalf of that entity. If you do not wish to be bound by any of these Terms of Use, you may not use or access the Site.
For purposes of these Terms of Use Applicable Law means any (i) statute, statutory instrument, by-law, order, directive, treaty, decree or law (including any common law, judgment, demand, order or decision of any court, regulator or tribunal); (ii) any legally binding rule, policy, guidance or recommendation issued by any governmental, statutory or regulatory body; and/or (iii) legally binding industry code of conduct or guideline which relates to these Terms, the Site. “Authorized Jurisdictions” means the names of the countries in which the Company may be authorized by Applicable Law to provide its services; "Healthcare Worker" means an individual providing services during the health camp. “External Healthcare Worker” means a Healthcare Worker who is not under the employment of Zuri Health, or who is not an agent of Zuri Health, or is not a Zuri Health Worker “Zuri Health Healthcare Worker” means a Healthcare Worker under the employment of Zuri Health or a Healthcare Worker acting as an agent of Zuri Health “Patient Health Information” Includes but is not limited to data related to a patient's medical history, including symptoms, diagnoses, procedures, lab results, x-rays, scans, and clinical information, and outcomes. Patient Health Information also includes but is not limited to prescriptions and patient notes. "Services" means patient registration and consultation. “Site” refers to the Health Camp site Any reference to Healthcare Workers shall mean both External Healthcare Workers and Zuri Healthcare Workers. Any provisions of these Terms that do not differentiate between External Healthcare Workers and Zuri Health Healthcare Workers shall apply to all Healthcare Workers that provide the Services through the Site.
Zuri Health provides a Site enabling Healthcare Workers to provide Services to Zuri Health patients. Zuri Health encourages Healthcare Workers to use the Site and provide the Services responsibly and lawfully.
The External Healthcare Workers undertake the furnishing of Services pursuant to the Terms as volunteers. Zuri Health shall not control or have the right to control what the External Healthcare Worker does and how the External Healthcare Worker performs the Services. The External Healthcare Worker agrees that he/she is offering his/her services freely and without pressure or coercion and is not otherwise employed by Zuri Health to perform the same type of services that they will be providing hereunder. Nothing in this Agreement shall be construed as creating any type of employment, partnership, or affiliate relationship between Zuri Health and the External Healthcare Worker. Neither Zuri Health nor the External Healthcare Worker have any responsibility nor liability for the actions of the other. Neither Zuri Health nor the External Healthcare Worker has any right or authority to bind or obligate the other in any manner or make any representation or warranty on behalf of the other. External Healthcare Workers shall be responsible for obtaining all licenses, approvals, and registrations required to provide the Services. The External Healthcare Workers shall also be responsible for obtaining professional indemnity cover. For Zuri Health Healthcare Workers, all matters relating to you that are not provided for in this Terms shall be governed by any previous valid contract between you and Zuri Health Compensation The External Healthcare Worker will not receive any compensation for Services rendered. The External Healthcare Worker shall not bring against Zuri Health and shall release Zuri Health from any and all claims to compensation, reimbursement, remuneration, benefits and/or insurance related to his/her Service. The External Healthcare Worker understands and agrees that that even if Zuri Health provides the External Healthcare Worker with financial support or assistance for his/her time and services as a volunteer (e.g., stipends, reimbursements, access to Zuri Health facilities), it does not change the External Healthcare Worker's status as a volunteer. The External Healthcare Worker may receive repayment for reasonable expenses incurred in providing the Service to the patients as agreed upon in the terms of this Agreement. Zuri Health shall bear the expenses associated with feeding and transporting the External Healthcare Worker, provided that such expenses are pre-approved by Zuri Health or incurred within the scope of the health camp.
You represent and warrant that You will abide by all Applicable Laws now in effect or hereinafter enacted relating to the performance the Services; You have the skills, training, qualifications and expertise required to perform the Services; You are of good fame and character and will perform the Services efficiently, honestly and fairly. The consummation of these Terms shall not result in a breach of the terms, provisions, or conditions of or constitute a default under any agreement to which you are a party or by which you are bound, or to the best of your knowledge, constitute a violation of any Applicable Laws. You are not excluded from providing the Services completed under these Terms and that to your knowledge, there are no pending or threatened government investigations that may lead to such exclusion You have never been convicted of a felony or of any act involving dishonesty or moral turpitude. For the purpose of these Terms. “Dishonesty or moral turpitude” shall mean any act or omission that implicates your honesty or integrity and in particular shall include any crime involving fraud, deceit, or theft. Should any of the warranties here change you will bring the same to the attention to Zuri Health with immediate effect and as soon as practically possible. Where applicable, you are and shall remain duly licensed in the Applicable jurisdiction(s), you actively engage in the practice of medicine, and possess the full power and authority to conduct perform the Services To the best of your knowledge, no hospital or clinic or health institution where you provide services similar to the Services contemplated under these Terms is taking or contemplating taking any action to limit, revoke, or otherwise adversely affect your privileges. You are not facing the risk of loss, suspension, restriction, involuntary surrender, or revocation, in any jurisdiction, of registration, license or approval to offer the Services contemplated in these Terms or to prescribe controlled substances and are not facing any currently pending professional liability or professional disciplinary actions.
The Healthcare Worker using the Site shall have the following confidentiality obligations: The Healthcare Worker agrees to keep confidential all Patient Health Information, deliverables and all data, technical, product, business, financial, and other information regarding the business and software programs of Zuri Health, its affiliates, patients, employees, investors, contractors, vendors and suppliers (the “Confidential Information”), including but not limited to programming techniques and methods, research and development, computer programs, documentation, marketing plans, patient identity, user engagement models and business methods. Without limiting the generality of the foregoing, Confidential Information includes all information and materials disclosed orally or in any other form, regarding Zuri Health's and/or its affiliates' software products or software product development including, but not limited to, the configuration techniques, data classification techniques, user interface, applications programming interfaces, data modelling and management techniques, data structures, and other information of or relating to Zuri Health's and/or its affiliates' software products or derived from testing or other use thereof. The Healthcare Worker shall at all times protect and safeguard the Patient Health Information Confidential Information and agrees not to disclose, give, transmit or otherwise convey any Confidential Information, in whole or in part, to any other person. The Healthcare Worker agrees that it will not use any Patient Health Information or Confidential Information for his/her own purpose or for the benefit of any third party and shall honour the copyrights and other intellectual property rights of Zuri Health and will not copy, duplicate, or in any manner reproduce any such copyrighted materials. Upon request of Zuri Health or upon termination of the Agreement, the Healthcare Worker shall promptly deliver to Zuri Health any and all documents, notes, or other physical embodiments of or reflecting the Patient Health Information or Confidential Information (including copies thereof), if any that are in possession or control of the Healthcare Worker. Additionally, the Healthcare Worker agrees to delete any electronic materials containing Patient Health Information or Confidential Information upon such request or upon termination. Nothing in the Agreement will be construed as conveying to the Healthcare Worker any right, title or interests or copyright in or to any Confidential Information of Zuri Health; or to convey any license as to use, sell, exploit, copy or further develop any such Confidential Information. The confidentiality obligations of the Healthcare Worker as mentioned herein will survive termination or expiration of this Agreement. Zuri Health has the right to take such action it deems necessary to protect its rights hereunder, including, without limitation, injunctive relief and any other remedies as may be available at law or equity. Any non-disclosure agreement signed between Zuri Health and the Healthcare Worker will remain effective, provided that its duration shall be extended coterminous with the Agreement. If there is a conflict between the confidentiality obligations of the Agreement and any non-disclosure agreement, the most restrictive obligation will prevail.
The Healthcare Worker may be responsible for registering patients on the health camp platform and/or providing medical services to patients at the health camp. You agree that you will not share or transfer patients' personal data including Patient Health Information with or to any third party, or permit the unauthorized access, use or disclosure of patients' personal data, Patient Health Information, except as required by Applicable law, and that you will comply with all Applicable data protection laws and regulations as well as Zuri Health's data protection and privacy policies and procedures relating to the processing of personal data.
The External Healthcare Worker hereby agrees to indemnify, defend, and hold harmless Zuri Health and its shareholders, directors, officers, partners, members, employees, agents, and/or contractors (collectively "Indemnified Party") against any losses, liabilities, fines, penalties, costs, or expenses (including reasonable attorneys" fees) which may be imposed upon Zuri Health by reason of any suit, claim, action, proceeding, or demand by any Zuri Health patient which results from the External Healthcare Worker"s breach of these Terms or from any negligence or wrongful acts or omissions, including failure to comply with the terms and requirements of the Privacy or Security Regulations, by the External Healthcare Worker. This obligation of the External Healthcare Worker to indemnify Zuri Health shall survive the termination of this Agreement for any reason.
You may only use the Site in compliance with this Agreement and all Applicable Laws. External Healthcare Workers Registration: You must complete the registration process by providing the Company with the information as prompted by the applicable registration form. In registering, you agree to provide accurate, current, and complete information, and to keep it up to date at all times. You will also choose a password. Please do not choose an email address or password that is indecent or offensive, or otherwise violates this Agreement or any Applicable Laws. Zuri Health conducts due diligence on all External Healthcare Workers before onboarding. The External Healthcare Worker shall comply with the Company's due diligence requests. External Healthcare Workers may not be permitted to provide the Services prior to the completion of the due diligence. Responsibility for Account: You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security. Sharing: You are not permitted to share your account details with anyone. A breach of this section would result in the immediate deactivation of your account and a termination of his Agreement, and may result in legal action. Liability for Account Misuse: The Company will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. You could be held liable for losses incurred by the Company, the Company's patients or another party due to someone else using your account or password. Use of Other Accounts: You are not permitted to use another Healthcare Worker's account at any time. Risk: You agree that you will evaluate and bear all risk related to the use, or any activities associated with, your account. The results of any actions you take based on your account are solely your responsibility. Under no circumstances will the Company be liable in any way for your account or for any loss or damage of any kind incurred as a result of the use of your Account. We make no representations or warranties that we will retain your account details for any specified period of time. Account Security: The Company cares about the integrity and security of your personal information. However, the Company cannot guarantee that unauthorized third parties will never be able to defeat the Site's security measures or use any personal information you provide to us for improper purposes. You acknowledge that you provide your personal information at your own risk. Use of your Account or the Site after the Health Camp. You will only have access to your account and the Site during the health camp. Zuri Health shall deactivate your account upon the completion of the health camp. Zuri Health Healthcare Workers Registration: You must complete the registration process by providing the Company with the information as prompted by the applicable registration form. In registering, you agree to provide accurate, current, and complete information, and to keep it up to date at all times. You will also choose a password. Please do not use as an email address that is indecent or offensive, or otherwise violates this Agreement or any applicable Laws. Sharing: You are not permitted to share your account details with anyone. A breach of this section would result in the immediate deactivation of your account and may result in legal or disciplinary action as the case may be. Use of Other Accounts: You are not permitted to use another Healthcare Worker's account at any time. Account Security: The Company cares about the integrity and security of your personal information. However, the Company cannot guarantee that unauthorized third parties will never be able to defeat the Site's security measures or use any personal information you provide to us for improper purposes. You acknowledge that you provide your personal information at your own risk. We make no representations or warranties that we will retain your account details for any specified period of time. Use of your Account or the Site after the Health Camp. You will only have access to your account and the Site during the health camp. Zuri Health shall deactivate your account upon the completion of the health camp.
Subject to the terms and conditions of this Agreement Zuri Health hereby grants to you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access the Site and otherwise view and use the Site to the extent permitted by its intended functionality, to provide the Services and not for the sublicense to or use by third parties. You may only access and/or use the Site and provide the Services through the certified Site or intended methods that Zuri Health or its licensed partners make available to you. Any access or use of our Site through an application, service, or method provided by a party other than Zuri Health or one of its licensed partners is strictly prohibited, outside the scope of the license granted herein, and may subject you to legal action. Any other use not authorized herein, or by Zuri Health in writing, is strictly prohibited and a violation of this Terms of Use. Zuri Health may revoke and/or terminate the foregoing license with respect to any aspect of the Site at any time, for any or no reason.
You agree to use the Zuri Health Site and provide the Services only in accordance with these Terms, as well as any and all Applicable Laws. While using the Site and providing the Services you will not (i) engage in any illegal acts or acts which are offensive to others, or (ii) violate any personal or property rights of any third party, including, but not limited to, intellectual property rights. Furthermore, you will not: (a) Copy, modify, adapt, translate, or otherwise create derivative works of the Site or the Services provided on the Site or (except as explicitly permitted herein); (b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, underlying ideas, or structure or organization of the Site or otherwise interfere with the Company's intellectual property; (c) Rent, lease, sell, assign, or otherwise transfer rights in or to the Site and the Site's Content; (d) Post, transmit, or introduce any device, software, or routine that interferes or attempts to interfere with the operation of the Site or the provision of the Services. (e) Circumvent, disable, or otherwise interfere with security-related features of the Site or features that prevent or restrict use or copying of any of Patient Health Information or Zuri Health content; (f) Upload, stream, email, or otherwise transmit (i) any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, “pyramid” or similar schemes, or any other form of solicitation or (ii) any viruses or other computer code that could interrupt, destroy, or limit the functionality of the Site, infect or damage another user's computer or mobile device, or interfere with the access of any other user to the Site or the Services; (g) Delete, or in any manner alter, the copyright, trademark, or other proprietary rights notices appearing on the Company's Site and any of its contents; (h) Represent that the Company endorses or supports your Site, website, private practice or content; (i) Obtain any information or materials relating to the Services or the Site or through any means not intentionally made available by the Company to you, or attempt to gain unauthorized access to the Services or the Site, patient personal data or Patient Health Information inputted into the Site or any technology, computer systems, or networks associated with the Services or the Site, or attempt to index, search, or crawl the Services or the Site with any automated process or other similar mechanism; (j) Use the Site or Services to help develop, or help provide to any third party, any product or service similar to or competitive with the Site or the Services; (k) Use the Site or Services in violation of any third-party rights of privacy or intellectual property rights. Zuri Health may bring a legal action against you in response to a suspected violation of any of the foregoing prohibitions.
The Zuri Health privacy policy explains the data we collect, use, store, and process while you use and access our Site or provide the Services. By using the Site and providing the Services through the Site, you have read, understood, and have agreed to the terms of our privacy policy, and you agree that we may use such data in accordance with the terms of our privacy policy. While using the Site and providing the Services, you agree that you will comply with all posted policies as we may update from time to time. We may suspend or stop providing you with access to the Site if you fail to comply with any policy
The Company is the exclusive owner of the Site and the Services (including revisions, modifications and enhancements thereto). All rights, title, and interest, including, but not limited to, intellectual property rights, in and to Zuri Health's Site, the Services, the Software and the Site's content, remain the exclusive property of the Company and its licensors where applicable. Except as expressly permitted in this Agreement, you will not reproduce, modify, or prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, or otherwise use Zuri Health Site, the Services, the Software or the Site's content. The Zuri Health name, logo, and the product names associated with the Services are trademarks of the Company, our affiliated companies, or other third parties and we do not grant any right or license to you to use them. Any logo, trademark, service mark, domain name, or trade name appearing on or within the Sites, whether registered or not, are the property of the Company or their respective owners. You may not use any of the foregoing without our express permission.
Your contract with your mobile network provider (“Mobile Provider”) will continue to apply when accessing or using the Site. You understand that your mobile provider may charge you fees for your use of its network connection while accessing or using the Site or providing the Services, for data downloading, e-mail, text messages, for roaming, and other mobile provider or third-party charges. You understand that the Services may be provided over the Internet and mobile networks and that you may provide the Services over the internet and mobile networks, so the quality and availability of the Site may be affected by factors outside our control. We do not guarantee that the Site will be compatible or operate with your Mobile Provider's service plans, with any particular Mobile Device, or other piece of hardware, software, equipment, or device you install on or use with your Mobile Device. We are not responsible if you cannot download the Site or if you cannot provide the Services, for any compatibility or interoperability issues, or for any communication system failure which may result in the Site being unavailable.
The Site may, in some circumstances, offer the ability for you to receive SMS communications and push notifications in connection with the Site and the Services. If you would like to modify your ability to receive push notifications from our Site, you can control those settings within the settings or preferences of each respective device. By accepting this Agreement and using the Site, you expressly consent to the receipt of all such communications from or on behalf of Zuri Health. You may modify your communication preferences at any time within the settings section of our Sites. You may not opt-out of receiving account-related or transactional communications.
YOU ARE ONLY PERMITTED TO PROVIDE THE SERVICES IN KENYA. USE OF THE SITE AND THE PROVISION OF THE SERVICES OUTSIDE THE AUTHORIZED JURISDICTION AND OUTSIDE THE SCOPE OF THE LICENSE GRANTED HEREIN IS STRICTLY PROHIBITED AND MAY SUBJECT YOUR ACCOUNT TO TERMINATION OR OTHER LEGAL ACTION.
We provide the Site “as is” and we make no representations or warranties, whether express or implied, regarding its use or that the Site will be error free. To the maximum extent allowed under Applicable Laws, we make no representations or warranties of merchantability or fitness for a particular purpose, or that the use of the Site or any information relating thereto or contained therein will not infringe any intellectual property rights of any third person. We make no representations concerning the suitability, performance, completeness, accuracy, or operation of the Site. We will not assume any liability that may arise out of your use or possession of the Services. You expressly agree that your use of, or inability to use, the Site, data, or other information found in the Site, is at your sole risk. Your sole and exclusive remedy for dissatisfaction with the Site will be to discontinue your use of the Site.
External Healthcare Workers YOU UNDERSTAND THAT TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, IN NO EVENT WILL THE COMPANY, ITS PROFESSIONALS OR THEIR OFFICERS, EMPLOYEES, DIRECTORS, SUBSIDIARIES, AFFILIATES, AGENTS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THE PROVISION OF THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, STATUTE OR OTHERWISE. To the extent that we may not, as a matter of Applicable Laws, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of our liability will be the minimum permitted under such Applicable Laws.
The Company may assign this Agreement or delegate any of our rights or obligations hereunder, or any part thereof, to any third party, including our successor in interest, without requiring your written consent. You may not assign this Agreement in whole or in part, for any reason. This Agreement will be binding upon and will inure to the benefit of the parties and their heirs, executors, administrators, successors, and assigns.
Your account and access to the Site will be disabled at the end of the Health Camp. We may suspend, disable, or close your account or otherwise stop you from accessing the Site or providing the Services in whole or in part at any time and for any reason. We will make reasonable attempts to notify you in person or through the email address or phone number you used to register your account if we ever have a need to suspend, disable, or close your account. We will have no liability to you or any third party if we suspend or disable your account or access to the Site. You will not be able to access the Site or provide the Services once your access has been suspended or terminated. At the time of such deactivation, termination or suspension, you are solely responsible for obtaining details of your account you may have submitted, or which has been stored on the Site. Subject to Applicable Laws, the Company reserves the right to maintain, delete or destroy all communications and materials posted or uploaded to the Site pursuant to its internal record retention and/or content destruction policies. After such termination or deactivation, Zuri Health will have no further obligation to provide you access to the Site. All Sections shall survive any termination or expiration of these Terms of Use.
(a) Governing Law. These Terms of Use, including all claims relating to or arising hereof or breach thereof, whether in contract, tort, or otherwise, will be governed and construed in accordance with the laws of the Laws of Kenya. (b) Right to seek court relief. If the Company reasonably believes that you have in any manner acted or failed to act in any manner that may cause harm to us or any third party, we may seek injunctive or other appropriate relief in any court of competent jurisdiction; (c) Informal Resolution. If you have any dispute with us or any related third party, arising out of, relating to, or connected with this Terms of Use, you agree to contact us directly and provide a brief, written description of the dispute and your contact information and give us Twenty-One (21) days from the date of submitting your written description with us within which to resolve the dispute to your reasonable satisfaction. If Zuri Health does not resolve the dispute through good faith negotiations under this informal process, you may pursue the dispute in accordance with the arbitration agreement below. (d) Arbitration Agreement. Any claims by Zuri Health, or claims by you that are not resolved by the Informal Resolution procedure described in clause (c) above, arising out of, relating to, or connected with this Terms of Use must be asserted individually in binding arbitration administered by the Chartered Institute of Arbitrators (Kenyan Chapter) in accordance with its Commercial Arbitration Rules for Consumer-Related Disputes (including utilizing desk, phone, or video conference proceedings where appropriate and permitted to mitigate costs of travel). The Kenyan Arbitration Laws will apply in all cases and govern the interpretation and enforcement of the arbitration rules and arbitration proceedings. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. In addition to and notwithstanding the terms stated above, the arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Terms of Use including any claim that all or any part of this Terms of Use is void or voidable. The arbitration proceedings and the outcome thereof will be kept confidential by each party and not used for any purpose other than a party exercising its rights and fulfilling its obligations with respect to the other party; provided, however that either party may disclose the existence and results of the proceeding: (1) as required by law, rule, or regulation; (2) to its accountants, attorneys, and other fiduciaries; and (3) to an arbitrator or third party who has exercised its rights under this clause for use as persuasive authority in other proceedings brought pursuant to this clause.
These Terms of Use supersedes all prior agreements concerning the subject matter herein. If any provision in this Terms of Use is deemed invalid by a court with competent jurisdiction or by an arbitrator having conduct of such matter, such provision or portion thereof will be deemed omitted.
